1. Definitions
Deal / Offer — a discount the Shop publishes (percent-off, 1+1, Happy Hour, Mega Loot, Flash, Combo, Expiring Soon).
In-app prepaid Deal — every Deal is paid by the customer in the app before redemption; the Platform Fee is collected automatically through the Viva.com marketplace split.
Platform Fee — CityLoot’s commission under Section 3.
Viva.com — Viva Payments, the licensed payment institution that processes and settles payments.
Boost — a paid premium placement under Section 5.
Mandate / Πάγια Εντολή — the recurring direct-debit authorisation under Section 6.
2. Subscription plans and offer slots
2.1 The Shop selects a plan. Each plan provides a number of active offer slots and a Platform Fee rate. CityLoot currently operates under the special small-business VAT exemption regime (Article 39 of the Greek VAT Code, Law 2859/2000; voluntary entry), so no VAT is added to the prices below and the amount shown is the amount invoiced; CityLoot’s invoices bear the notation “ without VAT – small-business exemption, Article 39 of Law 2859/2000 ” . If CityLoot ceases to qualify (e.g. on exceeding the statutory turnover threshold, currently €10,000), VAT at the applicable rate (currently 24%) will apply to its fees from that point (see Section 7).
Free — Price (ex-VAT): €0 / month · Offer slots: 1 · Notes: One Standard percent-off offer only (Mega Loot badge at ≥50%); free organic visibility; no paid placements or premium offer types; the single offer pauses after 90 days (non-renewable). 10% fee.
Starter — Price (ex-VAT): €7.99 / month · Offer slots: 3 · Notes: All standing offer types (percent-off, Mega Loot, Combo); 8% fee; pay-per-use boosts & premium offer types at list price.
Growth — Price (ex-VAT): €16.99 / month · Offer slots: 6 · Notes: All standing offer types; 8% fee; pay-per-use boosts & premium offer types at −10%.
Pro — Price (ex-VAT): €34.99 / month · Offer slots: 10 · Notes: All standing offer types; 8% fee; pay-per-use boosts & premium offer types at −20%.
2.2 Subscriptions renew monthly until cancelled (Section 11). The Shop may upgrade or downgrade; changes apply from the next billing cycle unless we state otherwise.
3. Platform Fee (commission)
Headline. CityLoot charges a Platform Fee of 8% on paid plans (Starter / Growth / Pro) and 10% on the Free plan , calculated on the amount the customer pays in the app. The fee rate, fee amount and any royalty rate are fixed ( “ snapshotted ” ) onto each transaction at the time it happens and are never recalculated later.
3.1 The Platform Fee applies to the amount the customer pays in the app, including bundle, 1+1 and Happy Hour Deals where there is no clean discount percentage. The fee is the Shop’s cost and is collected automatically by Viva.com at the point of sale.
3.2 In-app prepaid Deals. Viva.com collects the customer’s payment, deducts the Platform Fee and the payment-processing fee, and settles the remainder to the Shop. CityLoot does not hold the Shop’s money.
3.3 All Deals are paid in the app. The Platform Fee is deducted automatically by Viva.com from each payment and the balance is settled to the Shop; there is no separate monthly invoicing or collection of transaction fees.
3.4 Royalties / referrals. Referral royalties are always a percentage of CityLoot's own fee, never of the transaction value, and are CityLoot's cost — they do not increase the Shop's fee. A Shop that refers another shop which activates a paid plan earns a referral royalty (currently 15% of CityLoot's fee on that shop, for 6 months) plus one free Starter month; the first 100 shops on the platform are royalty-eligible. Royalty payouts are made manually at first, and recipients are responsible for their own tax and invoicing.
3.5 CityLoot reserves the right to change its prices — to increase or decrease the subscription prices, the Platform Fee, and boost/placement prices — at its discretion, on at least 30 days' written notice (email/dashboard). If you do not accept a change, you may terminate before it takes effect (Section 11).
3.6 Customer Points. Where a customer applies CityLoot Points to a purchase, CityLoot funds the Points portion: the Shop still receives the price less the Platform Fee, exactly as if the customer had paid in full. A Shop may opt out of accepting Points from its dashboard.
3.7 Reversal of the Platform Fee on refunds. Where a transaction is refunded to the customer in whole or in part, the Platform Fee snapshotted on that transaction is reversed in the same proportion and is borne by CityLoot. The Shop returns only its own share of the refunded amount; it is never asked to fund CityLoot’s fee. The customer receives the full refunded amount in a single payment. Section 3.3 (snapshotting) is not affected: the fee reversed is the fee that was snapshotted, not a recalculated one. Where a referral royalty has already been paid out on a fee that is later reversed, CityLoot bears that cost and does not recover it from the Shop.
4. Transactions and settlement
4.1 All in-app payments are processed by Viva.com, a licensed payment institution. CityLoot is not a bank or payment service provider and does not hold customer or Shop funds. To list paid Deals the Shop must complete Viva.com onboarding (KYB/identity checks) and provide a valid IBAN; until that verification is complete, the Shop’s Deals cannot go live or be charged.
4.2 Settlement timing, payout schedules and processing fees for in-app payments are governed by Viva.com’s terms. The minimum in-app transaction is €4.99.
4.3 The Shop is the seller / merchant of record and is solely responsible for honouring its Deals and for refunds. Where a refund is due it is processed via Viva.com and the customer receives the full amount in a single payment. The refund is funded proportionally: the Shop's share of the price is reversed from the Shop's settled or future funds, and CityLoot’s Platform Fee on that transaction is reversed from CityLoot’s own funds (Section 3.7). The Shop bears the cost and risk of its own non-performance up to its own share, and no further. As a backstop, CityLoot may recover such amounts by deducting them from sums otherwise due to the Shop, and may warn, suspend or de-list a Shop that attracts repeated substantiated complaints or a persistently low customer rating. If the Shop is de-listed or permanently ceases trading while prepaid Deals remain unredeemed, CityLoot may instruct Viva.com to withhold the Shop’s final settlement until those Deals are refunded or honoured. Card chargebacks raised by customers are handled under Viva.com’s dispute process and are allocated on the same proportional basis as refunds (Section 3.7): the Shop bears its own share and CityLoot bears its reversed Platform Fee. Any chargeback penalty or administration fee charged by Viva.com or the card scheme is borne by the Shop. CityLoot also records chargebacks as service-recovery cases.
4.4 Customer complaints. Complaints tied to a paid Deal are routed to the Shop through the dashboard ( “ Cases ” ). The Shop must respond within 72 hours (accept, decline with justification, or propose a resolution); unanswered or contested cases are decided by CityLoot as tie-breaker. Where a Code expired unredeemed through no fault of the Shop, any refund is at the Shop’s sole discretion (see the Customer Terms, Section 7.4). If the Shop does approve such a refund, Section 3.7 applies and CityLoot reverses its Platform Fee on that transaction, so the Shop gives back only its own share.
5. Boosts (premium placement)
5.1 Your plan includes a number of standing offer slots for free-shelf Deals (Standard percent-off, Mega Loot and Combo), which run until you deactivate them. Premium offer types (1+1, Happy Hour, Flash, Expiring Soon) and premium strip placements (Our Picks, Mega Loot strip and similar) are pay-per-use: you buy them by the day, week or month (Flash per burst). A boost or premium offer buys visibility, or the right to run that offer type for the period purchased — it is not a guarantee of sales or results. The Platform Fee still applies to any resulting transaction.

5.2 The Flash price (€4.99 per burst) is fixed and snapshotted at purchase. All other premium prices are shown in the dashboard before you buy and may be updated from time to time. Member discounts on these prices (Growth −10%, Pro −20%) are applied at checkout and snapshotted. Prices are shown without VAT under CityLoot’s small-business exemption (Section 7); VAT would be added only if CityLoot leaves that regime.
6. Direct-debit mandate (Πάγια Εντολή)
What you are authorising. By signing this Agreement and completing payment setup, the Shop authorises CityLoot (through Viva.com and the Shop’s bank) to collect, by recurring SEPA Direct Debit from the Shop’s designated account/IBAN, the amounts the Shop owes under this Agreement — namely the monthly subscription and any pay-per-use boosts or premium placements. Transaction Platform Fees are collected automatically by Viva.com at the point of sale and are not part of this Mandate.
6.1 The Mandate is a standing payment instruction (πάγια εντολή / SEPA Direct Debit) governed by the SEPA framework (Regulation (EU) 260/2012) and the EU/Greek payment-services rules (Directive (EU) 2015/2366 (PSD2), transposed by Law 4537/2018). The Shop will be given a mandate reference and the creditor identifier.
6.2 CityLoot will provide pre-notification of each collection (amount and date) at least 2 business days in advance, by invoice/email, unless a shorter period is agreed.
6.3 The Shop must keep a valid, funded account and IBAN and keep its payment details up to date. The Shop is responsible for bank charges arising from failed collections caused by the Shop.
6.4 Under SEPA rules the Shop may request a refund of an authorised direct debit from its bank within 8 weeks of the debit date, and the Shop may cancel the Mandate at any time — but cancelling the Mandate does not cancel amounts already owed, and may lead to suspension or termination of the service (Section 11).
6.5 If a collection fails, CityLoot may retry and may suspend the Shop’s offers and account until amounts due are paid. Late amounts may bear statutory default interest under Greek law.
7. VAT, invoicing and taxes
7.1 CityLoot currently operates under the special small-business VAT exemption regime (Article 39 of the Greek VAT Code, Law 2859/2000; voluntary entry). Its subscription, Platform Fee and boost prices therefore do not carry VAT , and its service invoices (τιμολόγια παροχής υπηρεσιών), reported through myDATA, bear the notation “ without VAT – small-business exemption, Article 39 of Law 2859/2000 ” . If CityLoot exceeds the statutory turnover threshold (currently €10,000) or otherwise leaves this regime, it must register for normal VAT and will add VAT (currently 24%) to its fees from that point, giving notice under Section 3.5.
7.2 Each Party is responsible for its own taxes. The Shop is responsible for charging and accounting for VAT on its own sales to customers and for issuing the customer’s receipt/invoice for the underlying product or service.
8. Platform tax reporting (DAC7)
8.1 CityLoot is a digital platform subject to the EU platform-reporting rules known as DAC7 (Council Directive (EU) 2021/514, transposed into Greek law Law 5047/2023). This means CityLoot must collect and annually report to the Greek tax authority (ΑΑΔΕ) certain information about Shops that earn money through the platform, including legal name, address, ΑΦΜ/TIN, account/IBAN identifier and the amounts earned and fees charged.
8.2 The Shop agrees to provide accurate information for this purpose and consents to CityLoot reporting it to ΑΑΔΕ as required by law. CityLoot may suspend payouts or the account where required information is missing, as the rules allow.
9. Shop obligations and offer standards
9.1 The Shop warrants that it is duly registered, holds all licences and permits for its business, complies with applicable law (including food safety, hygiene, labelling, pricing and consumer law), and that the information it provides (legal name, ΑΦΜ, IBAN, address, opening hours) is accurate and kept up to date.
9.2 The Shop is solely responsible for its products and services, their quality and safety, their description and pricing, and for honouring its Deals. Each Deal must include an accurate description (for food: ingredients and allergens). As the trader and seller, the Shop bears all consumer-law conformity, withdrawal and refund obligations towards the customer. That responsibility is unaffected by Sections 3.7 and 4.3, which govern only how an approved refund is funded between the Shop and CityLoot.
9.3 Offer rules: minimum discounts — Standard percent-off ≥ 20% in steps of 10; Mega Loot ≥ 50% (steps of 10, up to 80%); Flash ≥ 30% with a mandatory quantity cap. Combo and 1+1 are exempt from the percentage floor (they are bundle / value pricing). Daily validity ends at the Shop’s closing time. Standing offers run until the Shop deactivates them; paid offer types and placements run for the duration purchased, with an optional auto-renew; the Free plan’s single offer pauses after 90 days (non-renewable). A default per-customer limit of 1 applies.
9.4 Prohibited content. Alcohol, tobacco and gambling (betting / games of chance) are fully prohibited. Nightlife & Events venues may list only food, soft drinks, mocktails, entry and events. The Shop must not publish illegal, misleading or infringing content.
9.5 The Shop grants CityLoot a non-exclusive licence to display its name, logo, photos and offer content on the platform and in CityLoot marketing for the purpose of promoting the Shop’s Deals.
9.6 Reference prices and discount claims. Where the Shop advertises a price reduction (a percentage off, “ Mega Loot ” , or a “ save €X ” amount), the Shop is responsible for ensuring the reference ( “ before ” / “ was ” ) price is the lowest price the Shop applied in the 30 days before the reduction (10 days if the item has been on sale for less), in line with Greek price-indication law (Law 4933/2022, transposing Directive (EU) 2019/2161, amending Laws 2251/1994 and 4177/2013). The Shop must not display inflated or misleading “ before ” prices. CityLoot may remove a Deal whose stated saving does not comply.
10. Data protection
10.1 Each Party complies with the GDPR (Regulation (EU) 2016/679) and Law 4624/2019. In relation to platform operations, CityLoot and the Shop each act as independent controllers of the personal data they respectively determine the purposes of: CityLoot for the platform and customer accounts; the Shop for its own handling of any customer personal data it accesses (e.g. at redemption).
10.2 The Shop must process any customer personal data it obtains via CityLoot only to fulfil the relevant Deal, lawfully and securely, and not for unrelated marketing without a lawful basis. CityLoot’s processing is described in its Privacy Policy. The Parties act as independent controllers; no joint processing or processor relationship has been identified that would require a separate data-processing agreement.
11. Term and termination
11.1 This Agreement starts on signature (or first use of the dashboard) and continues month-to-month until terminated.
11.2 Either Party may terminate for convenience on 30 days’ written notice (email/dashboard). The Shop can cancel its subscription from the dashboard.
11.3 CityLoot may suspend or terminate immediately if the Shop materially breaches this Agreement, fails to pay, publishes illegal or prohibited content, or engages in fraud, or where required by law. Where CityLoot restricts, suspends or terminates the Shop’s listing or account, it gives the Shop a statement of reasons (Regulation (EU) 2019/1150, Article 4), except where the law prevents this.
11.4 On termination: active offers are removed; the Mandate ends for future periods; and all amounts accrued up to termination (subscription up to the end of the paid period and any pay-per-use boosts / placements) remain payable and may be collected under the Mandate. Sections that should survive (fees due, liability, confidentiality, data protection, governing law) continue.
12. Liability and indemnity
12.1 Neither Party excludes liability that cannot be excluded by law (e.g. fraud, or death/personal injury caused by negligence). Subject to that, neither Party is liable for indirect or consequential loss, and CityLoot’s total liability under this Agreement in any 12-month period is limited to the total fees the Shop paid to CityLoot in that period.
12.2 The Shop indemnifies CityLoot against claims, fines and losses arising from the Shop’s products or services, its Deals, its breach of this Agreement or of law, or its handling of personal data.
13. Confidentiality
13.1 Each Party keeps the other’s non-public business information confidential and uses it only for this Agreement, except where disclosure is required by law.
14. General
14.1 CityLoot may use sub-contractors and service providers (e.g. Viva.com, hosting, email) to provide the service. The Shop may not assign this Agreement without consent; CityLoot may assign it as part of a business transfer.
14.2 If any clause is invalid, the rest remain in force. No waiver is implied by delay. This Agreement (with the plan/boost prices in the dashboard and the Privacy Policy) is the entire agreement between the Parties.
14.3 Platform-to-Business transparency (Regulation (EU) 2019/1150). (a) Ranking. The main parameters determining how Deals are ranked and shown to consumers are proximity / distance to the consumer, relevance and recency; paid placements (boosts) can additionally raise visibility and are identified as such, and do not override the distance-based ranking. (b) Changes. CityLoot gives at least 15 days’ notice of changes to these terms (longer where Section 3.5 applies to prices), except where a change is required by law or to address a security or legal risk; the Shop may terminate before a change takes effect. (c) Reasons. On any restriction, suspension or termination, CityLoot gives a statement of reasons (Article 4). (d) Size. CityLoot is a micro / small enterprise and is therefore exempt from the internal complaint-handling system (Article 11) and from designating mediators (Article 12); the Shop may still raise any issue at hello@cityloot.gr.
15. Governing law and jurisdiction
15.1 This Agreement is governed by Greek law. The courts of Piraeus have exclusive jurisdiction over disputes.

Mandate acknowledgement. By signing above, the Shop confirms it has read and accepts the direct-debit Mandate (Πάγια Εντολή) in Section 6 and authorises recurring SEPA Direct Debit collection of subscription and pay-per-use boosts / placements via Viva.com from the IBAN provided.
